Department Introduction

This Terms of Reference covers consultancy assignments across all four of GCF’s regional Departments -Africa; Asia-Pacific; Eastern Europe; Central Asia and Middle East ; and Latin America and the Caribbean. These Departments work on origination, pipeline development, and portfolio management across public and/or private sector investments. Consultants engaged under this ToR support leading investments end to end and driving transformative climate adaptation and mitigation impact. Assignments may support any one of the four regional Departments , or work across several of them, according to portfolio need and the Consultant’s experience for an initial period of six (6) calendar months.

 

Position Objective

The Climate Investment Restructuring Principal is a specialist role focused on already-approved Funded Activities whose implementation is off track. The Consultant leads the analytical, operational and coordination work required to diagnose why a project is underperforming and the need to restructure it, through Change Requests, work-outs or adaptive management measures, so that it returns to plan and delivers the climate impact results committed at approval. Reporting to and under the guidance of the relevant Regional Manager, the Consultant acts as project lead on complex, high-value restructurings, owning problem diagnosis, financial re-structuring suggestions, revised due diligence, remedial-action planning suggestions and close performance monitoring through to implementation of the agreed fix. The role carries full autonomy in assessing restructuring proposals and can represent GCF with Accredited Entities (AEs) on distressed and underperforming projects.

 

Under the guidance of the Regional Manager, the Climate Investment Restructuring Principal is expected to make crucial contributions to the efficient and effective management of Funded Activities that undergo Change Requests or Restructurings, ensuring problem projects are brought back on track rather than allowed to stall or to fall short of their approved climate impact. S/he will work in close collaboration with GCF Programming staff, risk and compliance specialists, legal counsel, environmental and social specialists and finance specialists to design and agree workable remedies with Accredited Entities.

 

Duties and Responsibilities

  • Undertake the processing of complex Change Requests and/or Restructurings of Funded Activities to resolve implementation challenges and/or include adaptive management measures as required. This also includes supporting Regional Manager in presenting and defending Change Requests and/or Restructurings within internal committees and ultimately to the Board, as appropriate in the case of Major Changes.
  • Proactively engage Department’s Team and GCF Management on appropriate corrective measures and approaches to address emerging implementation challenges in Funded Activities. This also includes enhancing on-site implementation with a view to achieving expected performance and results.
  • Support in Leading, coordinate and contribute to updating and improving portfolio management functions, strategies and approaches for improving the performance of projects that are off-track. This also includes support in strengthening and standardising restructuring/work-out operating procedures and processes in response to evolving and varied institutional and client needs and contexts.

 

Deliverables

The Consultant will be accountable for the following deliverables, in respect of each Funded Activity assigned:

 

  • Restructuring diagnostic and options note -a written assessment of why implementation is off track (root causes, financial, technical, E&S, fiduciary and capacity factors), setting out viable remedial options with a recommended course of action, submitted within an agreed period of assignment to each case.
  • Change Request / Restructuring packages -complete, quality-assured submissions prepared in line with GCF policies and procedures, together with the Regional Manager presented and defended within internal committees and, in the case of Major Changes, to the Board.
  • Revised project structure and financial analysis-updated financial structuring, models, instrument terms and risk analysis reflecting the restructured transaction, including any re-baselined climate impact and results framework.
  • Remedial action / recovery plans - agreed with the Accredited Entity and executing partners, specifying corrective measures, responsibilities, timelines and performance triggers for bringing the project back on track.
  • Amended legal and contractual documentation inputs - technical inputs to legal counsel for amendments to Funded Activity Agreements and related documents, through to signature.
  • Portfolio performance monitoring and escalation reporting -periodic (monthly or quarterly, as agreed) reporting on the status of assigned at-risk projects, progress against recovery plans, residual risks, and timely escalation to the Regional Manager
  • Mission and engagement reports - back-to-office reports and follow-up actions from missions, AE engagements and negotiations undertaken in connection with assigned cases.
  • End-of-assignment report - a consolidated account of cases handled, restructuring outcomes achieved, climate impact results safeguarded or restored, and recommendations for the portfolio.

 

All deliverables are to be produced in English and submitted to the Regional Manager for review and acceptance.

 

Required Qualifications and Experience

  • Master's degree in Finance, Economics, Business Administration, Environmental Management, Development Finance or a related field; or a Bachelor's degree in a relevant discipline with two (2) additional years of relevant experience.
  • Minimum seven(7) years of relevant experience in public and/or private sector projects/programmes, investment analysis, climate/development finance, project finance or portfolio management, with a substantial track record as project or transaction lead.
  • At least 3 years leading the structuring, execution and restructuring of investment instruments (equity, debt, guarantees, project finance, grants), including complex or blended structures and workouts negotiated in challenging or sensitive contexts.
  • Expert analytical, problem-solving and negotiation skills - financial modelling, risk analysis and portfolio diagnostics - with the ability to quality-assure others' work and deliver under pressure.
  • Proven leadership of multi-disciplinary teams and multiple concurrent workstreams to deadline without supervision.
  • Strong relationship management and interpersonal skills, with the ability to work in a multicultural environment and articulate ideas clearly, in writing and orally, to technical and strategic audiences.
  • Knowledge of the operational framework and fiduciary standards of bilateral/multilateral institutions, and unquestionable integrity.
  • Fluency in written and spoken English required; another UN language an advantage.
  • Experience with DFIs, MDBs, investment funds, climate finance institutions or international bi/multilateral organisations, exposure to climate finance and the Fund's modalities, and experience across more than one developing-country region are all advantages.

  • Consultants must adhere to GCF's ethics and conflict of interest policies.
  • Consultants working for GCF-accredited entities or project-executing entities will not be eligible to review proposals from their affiliated organizations.
  • All Consultants will sign confidentiality and ethics agreements.
